These Terms and Conditions (“Terms”) govern the use of services provided by [Firm Name] (“we”, “our”, or “the Firm”). By engaging our legal and/or business consulting services, you (“Client”, “you”) agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Scope of Services

The Firm provides Artificial Intelligence, legal consulting, business strategy, compliance guidance, document preparation, and other related services as agreed upon in a separate engagement letter or service agreement.

Please note: The Firm may or may not provide representation in court or before government agencies, unless explicitly stated in a written agreement.

2. Client Responsibilities

​​

You agree to:

• Provide accurate, complete, and timely information and documentation.

• Cooperate fully with our team.

• Make timely payments for all services rendered.

• Comply with all applicable laws and regulations relevant to your matter.

3. Confidentiality

​

We maintain the confidentiality of all client information, subject to applicable laws and professional standards. We will not disclose your information to third parties without your prior written consent, except as required by law.

4. No Attorney-Client Relationship

​​

Unless explicitly agreed upon in writing and signed by both parties, our engagement does not create an attorney-client relationship. Legal consulting is not a substitute for legal representation in court or litigation matters.

5. Fees and Payment Terms

 

• Rates: Fees for services are provided in the engagement letter or agreed upon in advance.

• Invoices: You will receive regular invoices detailing services rendered.

• Payment Due Date: Invoices are due within execution of the Consulting Agreement unless otherwise stated.

• Late Payments: We reserve the right to charge interest on overdue balances at a rate of 5% per month and/or suspend services until payment is received.

6. Refund and Cancellation Policy

• If services are canceled before commencement, a full or partial refund may be issued based on the time and resources allocated.

• No refunds will be issued for completed services.

• Retainer fees, if applicable, are non-refundable unless otherwise agreed in writing.

7. Limitation of Liability

​​

To the fullest extent permitted by law, the Firm shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data. Our total liability shall not exceed the total amount paid by you for services rendered in the 6 months preceding the claim.

8. Intellectual Property

​​

All templates, materials, processes, and documentation provided by the Firm are the intellectual property of the Firm and may not be reproduced, distributed, or sold without our express written consent. Any IP created strictly per a SOW is the property of the client.​​

9. Termination of Services

​

Either party may terminate the service agreement at any time with written notice. Upon termination:

• You are responsible for payment of all fees incurred up to the date of termination.

• We may retain a copy of your file as required by law or for recordkeeping purposes.

10. Governing Law and Jurisdiction

​​

These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any disputes shall be resolved via arbitration.

11. Amendments

The Firm may update these Terms at any time. Clients will be notified of material changes via email or posted on our website. Continued use of services after such updates constitutes acceptance of the revised Terms.

12. Entire Agreement

​

These Terms, together with any written engagement letter, constitute the entire agreement between the Client and the Firm and supersede all prior understandings or agreements, whether written or oral.

13. Disclaimer
